1. The goal of the Committee’s activities is to assist the Board of Directors of the Company in performing its functions related to developing the procedure for and overseeing (in accordance with the developed procedure) the value appraisal of assets and business for the Company, its subsidiaries and dependent companies, and new companies and other economic entities involved in transactions in accordance with the requirements of Federal Law of the Russian Federation No. 135-FZ of July 29, 1998, “On Appraisal Activities in the Russian Federation” and Federal Appraisal Standards.

The principal objectives of the Committee include:


• Supervising activities related to the appraisal of assets for the Company and its subsidiaries and dependent companies.
• Engaging independent experts to advise on the issues falling within the competence of the Committee.

2. In accordance with Section 3 of the Regulations for the Valuation Committee of the Board of Directors of JSC IDGC Holding, members of the Committee are appointed by the Board of Directors of the Company.

Members of the Committee may include:


• representatives of the government, minority shareholders represented by members of the Board of Directors of the Company;
• representatives of the Company’s management;
• representatives of the appraiser community.

Pursuant to the decision adopted by the Board of Directors of JSC IDGC Holding (Minutes No. 64 of October 7, 2011), the following persons were approved as the new members of the Valuation Committee of the Board of Directors of JSC IDGC Holding, composed of twelve (12) people:
